By using Onix Board, you agree to be bound by these Terms and Conditions as described below. 2. ACCEPTANCE OF THE TERMS By registering, accessing, or using any functionality of Onix Board, you acknowledge that you have read, understood, and accepted these Terms and Conditions, as well as any additional policies or updates we may publish on the Platform. If you do not agree with any part of these Terms, you must refrain from using the Platform. We reserve the right to modify these Terms at any time. Modifications will become effective once published on the Platform. We recommend reviewing them periodically. 3. DESCRIPTION OF THE SERVICE Onix Board is a digital platform that allows users to access management, administration, publishing, or automation services (depending on the modules contracted), create accounts, manage content, perform integrations, subscribe to service plans, and use features related to software, CRM, user/content administration, and more. Specific features depend on the plan or subscription you choose. The service is provided “as is” and “as available”: it may be modified, updated, suspended, or discontinued, in whole or in part, at the discretion of ARTMERLOP S.A.S. de C.V. 4. USER ACCOUNTS AND OBLIGATIONS • To use certain functions of Onix Board, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials. • You agree to provide truthful, current, and complete information when registering and to keep such information up to date. • You are responsible for all activity carried out through your account, including posted content, modifications, integrations, etc. • You must not allow third parties to use your account without authorization, nor transfer, sell, or assign it without our permission. 5. ACCEPTABLE USE AND PROHIBITED CONDUCT You may not use Onix Board for illegal, unlawful, or prohibited purposes. Prohibited activities include—but are not limited to: • Posting, uploading, sharing, or distributing content that violates third-party rights (copyright, intellectual property, trademarks, patents). • Posting offensive, defamatory, pornographic, hateful, threatening, illegal, fraudulent, malicious content, or content containing viruses or malware. • Attempting to breach, hack, alter, copy, modify, or interfere with the Platform, its servers, networks, software, databases, or functionalities. • Performing scraping, mass data extraction, resale, unauthorized commercial use, repackaging, reverse engineering, or creating derivative products without permission. We reserve the right to suspend or cancel, without prior notice, access to the Platform for users who violate these rules. 6. INTELLECTUAL PROPERTY All intellectual and industrial property rights of Onix Board—its software, design, brand, code, databases, images, text, documentation, graphics, functionality, logos, and all other content—belong to ARTMERLOP S.A.S. de C.V. (or its licensors, as applicable). We grant users a limited, non-exclusive, non-transferable, and revocable license solely for internal, personal, or business use (according to the plan), without commercial purposes of resale or redistribution. Copying, reproducing, distributing, modifying, adapting, publishing, transmitting, reselling, sublicensing, translating, decompiling, reverse engineering, or creating derivative works based on Onix Board or its content is strictly prohibited unless prior written consent is granted. 7. SUBSCRIPTIONS, PAYMENTS, AND BILLING By subscribing to a service plan through Onix Board, you agree to pay the corresponding fees, taxes, or additional charges as specified through authorized payment methods. These fees may be recurring (subscription, automatic renewal, monthly charges, etc.) or one-time, depending on the selected plan. You are responsible for keeping your payment information up to date. 8. REFUND POLICY All sales, subscriptions, or service contracts made through Onix Board are expressly non-refundable. No returns, credits, cancellations with reimbursement, or changes will be accepted once the service has been contracted. 9. LIMITATION OF LIABILITY AND WARRANTIES Onix Board is provided “as is” and “as available,” without express or implied warranties of continuous operation, specific results, error-free performance, or compatibility with the user's hardware, software, or systems. ARTMERLOP S.A.S. de C.V. shall not be liable for direct, indirect, special, incidental, consequential, punitive, or any other type of damages resulting from the use or inability to use the Platform, even if warned of the possibility of such damages. 10. SUSPENSION OR TERMINATION OF SERVICE We reserve the right to suspend or terminate your account or access to Onix Board, without prior notice, if we reasonably believe you have violated these Terms, misused the Platform, or for security, legal, or technical reasons. Upon termination of your account, your usage rights end immediately, and you may lose access to your data, content, or features provided by Onix Board. 11. THIRD-PARTY SERVICES / EXTERNAL LINKS / INTEGRATIONS Onix Board may integrate third-party services or display external links. We are not responsible for the practices, content, policies, or availability of such external services. Use of these services is at your own risk. 12. PRIVACY AND PERSONAL DATA PROTECTION ARTMERLOP S.A.S. de C.V. is committed to complying with the Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP) regarding personal data collected, stored, or processed through Onix Board. Before providing any personal data, you will have access to a clear Privacy Notice explaining what data we collect, for what purposes, how it will be used, stored, shared, and what your rights are (ARCO rights). 13. GOVERNING LAW AND JURISDICTION These Terms and Conditions are governed by the laws of Mexico. Any dispute, controversy, or claim arising from the use of Onix Board shall be submitted to the competent courts of the state of Michoacán, unless otherwise legally required. 14.
